THECIPHER · THE DECISION LEDGER FOR PE AND VC.

◆ Faro doesn't summarize your notes.  It builds the Decision Ledger your firm never had time to write.

Every IC memo, board note, and passed deal, structured and ready to resurface the moment a new deal rhymes with an old one. Live in 48 hours.

AI tools tell you what the documents say. Faro tells you what your firm has learned.

You don't turn down the dark alley. You don't hire the candidate that felt wrong. You don't need more data - you need the judgment you've already earned.

TheCipher turns that experience into infrastructure.

The pattern every firm has lived

You've been in this meeting. You just didn't have the right infrastructure when it mattered.

It's a Tuesday. You're in a portfolio review. A company you've held for three years is 40% below plan. The CEO has been struggling for eight months. Everyone knew. Nobody said it at the right time, in the right way, with enough structure to force a decision.

The signals were there, scattered across board notes, partner voice memos, and quarterly reviews. Three partners flagged concerns independently, in different quarters. None of it was ever connected. None of it was ever forced into a decision framework. TheCipher makes sure the next Tuesday benefits from everything your firm should have learned from the last one.

The judgment layer for PE, VC, and family offices. Here's what changes when your firm's full pattern history is in the room.

01

Capture the judgment.

◆ Faro works from the materials your team already creates: IC memos, board decks, deal notes, portfolio reviews, post-mortems, and partner observations.

02

Connect the decision.

Faro structures evidence, judgment, dissent, decisions, and outcomes so the reasoning behind a deal doesn't disappear inside a PDF.

03

Resurface the precedent.

When a new deal or portfolio situation looks familiar, Faro surfaces the relevant prior decisions, what your team believed then, and what happened next.

TheCipher makes it institutional.

Single-decision-maker companies recover more slowly after a bad quarter. We've seen it three times now.

When net retention decays in vertical SaaS, it rarely recovers to prior levels.

◆ surfaced · operating model patternA.S. · 07 / 22 / 23

Vertical SaaS platforms at this stage that delay hiring a dedicated integration lead before the first add-on close take materially longer to reach value. We've seen it in three of our last four buy-and-builds.

Recommendation

Based on four prior situations with analogous deal structure and stage: proceed with Series C participation, but condition on founder's agreement to a structured COO search before first platform acquisition. Firms in our portfolio that made this move pre-close reached integration value faster. Flag for IC discussion: J.R.'s founder-dependence concern aligns with a pattern we've seen resolve well when addressed proactively at term sheet, not post-close.

Why this exists

You've been thinking in markets. Faro thinks in decisions.

"Hedge funds." "Boards." "Search." "PE/VC:" Those are where the room is. They are not what happens in the room.

Every consequential call your firm makes is one of five kinds of decision. The label changes by industry. The judgment underneath it doesn't.

Selection.

Which company. Which manager. Which executive. Which asset.

Intervention.

Replace the CEO. Reprice the position. Change strategy. Escalate the board issue.

Allocation.

How much capital. Which fund. Which risk.

Conviction-change.

What new evidence should change what we believed.

Exit.

Sell. Hold. Fire. Settle. Stop.

Faro doesn't just remember what your firm decided. It knows what kind of decision this is, and what your firm has learned every other time it faced one like it, no matter what room it happened in.

Deal-intelligence tools help you process the deal in front of you. ◆ Faro preserves and compounds the judgment your firm earned across the deals behind you. It doesn't replace your CRM, shared drive, research tools, or models, it makes the reasoning buried across them available to the next consequential decision.

Not six months.

Start with the history you already have. Upload a defined set of IC memos, board materials, deal notes, and post-mortems. Faro structures the first Decision Ledger and begins surfacing precedent from that corpus.

Single-tenant. Never shared across clients. Never used to train models. SOC 2 in progress, security documentation available on request.

25+ years inside PE, VC, and family office decision rooms·200+ portfolio company inflection points observed·Managing Partner, Cipher Partners

I was driving one afternoon and reached an intersection. I looked down the alley - dark, dim, a few wayward characters hanging in the corners. I didn't deliberate. Something in me already knew not to turn. That wasn't instinct. That was twenty years of compounded experience firing in a single moment.

Faro. Portuguese for lighthouse. The light that keeps you from turning down that alley.

I realized that's exactly what the best investors do. And exactly what their firms lose when those investors leave the room.

That's why I built TheCipher.

After twenty-five years inside PE, VC, and family office decision rooms, I noticed something strange.

Firms never forgot a financial model.

They never lost an IC memo.

They never misplaced a cap table.

But they forgot why they made some of the most important decisions in the history of the firm.

The best judgment simply walked out the door.

I built TheCipher to change that.

I didn't study this market from the outside. I spent twenty-five years in the rooms where these decisions get made, and I watched the same judgment evaporate at every firm I touched. TheCipher isn't a technology company that discovered PE. It was built from decades spent watching consequential decisions get made, seeing what experienced people knew, and watching institutions repeatedly fail to preserve what those decisions taught them. The technology is new. The problem isn't.

FAQ

Common questions.

What does TheCipher actually do?

◆ Faro turns your firm's existing deal memos, board notes, and portfolio reviews into compounding institutional intelligence. It extracts the judgment behind every decision, structures it against context, and resurfaces it when a new decision rhymes with an old one. No new system your team has to feed. TheCipher works from the materials and workflows your firm already produces.

What do I have to do differently day-to-day?

Nothing. Your team keeps writing memos, taking board notes, and running portfolio reviews exactly as they do today. Faro listens to what you are already producing and captures the judgment within it.

How is this different from search or AI chat tools?

Search retrieves what was written. AI chat can reason over the information it is given. Neither can independently recreate the proprietary history of how your firm formed judgments, made decisions, and experienced outcomes. Faro builds a Decision Ledger from that history and surfaces it exactly when the next decision rhymes with an old one.

What about confidentiality?

Every firm's data is completely isolated in a single-tenant architecture. Nothing is aggregated, shared with other clients, or used to train models. SOC 2 compliance is in progress and full security documentation is available on request.

Your firm has already paid to earn its judgment. Faro makes sure the next consequential decision benefits from it. See what your first Decision Ledger looks like using the history your firm already has.
